Samenvatting
Deze voorwaarden gelden voor het platformgebruik (B2C/B2B), webshopbestellingen en samenwerking met leveranciers. Nederlands recht is van toepassing; de Nederlandse rechter is bevoegd (onverminderd dwingend consumentenrecht).

These terms govern platform use (B2C/B2B), online orders, and supplier relations. Dutch law applies; Dutch courts have jurisdiction (without prejudice to mandatory consumer protections).

Gebruiksvoorwaarden (User Agreement)

1. Acceptatie & Geschiktheid

  • Minimaal 18 jaar en bekwaam om te contracteren.
  • Door account, bestelling of gebruik gaat u akkoord met deze voorwaarden.
  • Zakelijke gebruikers zijn bevoegd hun organisatie te binden.

2. Accounts & Veiligheid

  • Houd gegevens juist en actueel; u bent verantwoordelijk voor uw inlog.
  • Wij mogen bij fraude/risico’s toegang opschorten of beëindigen.

3. Toegestaan gebruik

  • Gebruik rechtmatig; geen scraping, reverse-engineering of verstoring.
  • Geen illegale/inbreukmakende of schadelijke inhoud.

4. Bestellen, prijzen & betaling

  • Bestelling = aanbod; aanvaarding bij bevestiging (duurzame gegevensdrager) of start uitvoering.
  • Prijzen excl. belastingen tenzij anders; btw volgens wet. Valuta zoals getoond/SOW.
  • Online bestelknop: “Bestelling met betalingsverplichting” of gelijkwaardig.

5. Levering & risico

  • Levertijden indicatief; overmacht kan gelden.
  • Risicoovergang volgens Incoterms of order/SOW.

6. Geen bewaring van klantgelden

VALORIUS® houdt geen cliëntgelden aan en beheert geen digitale tokens. Klantbestanden blijven eigendom van de klant en worden alleen gebruikt binnen de afgesproken scope.

7. Aansprakelijkheid & uitsluitingen

Voor zover wettelijk toegestaan is VALORIUS® niet aansprakelijk voor indirecte/gevolgschade (o.a. winstderving, dataverlies). Totale aansprakelijkheid in 12 maanden is beperkt tot het door u betaalde voor de relevante order/dienst. Niets beperkt aansprakelijkheid voor fraude, opzet/grove schuld, overlijden of letsel door nalatigheid.

Leveranciersvoorwaarden (Vendor Agreement)

1. Onboarding & Compliance

  • KYC/AML; correcte bedrijfs-, belasting- en bankgegevens.
  • Producten/diensten voldoen aan wet, normen (CE/EN) en bouwvoorschriften.

2. Listings, kwaliteit & uitvoering

  • Productdata juist (specificaties, prijs, levertijd, garantie) en actueel.
  • Tijdig leveren, veilig verpakken; SLA/garantie nakomen (SOW/listing).
  • Geen illegale/niet-conforme of namaakgoederen.

3. Uitbetalingen, kosten & verhaal

  • Uitbetalingen/kosten volgens onboarding of SOW.
  • Chargebacks/retouren/boetes toerekenbaar aan Leverancier kunnen worden verrekend.

4. IE & vertrouwelijkheid

  • Elke partij behoudt eigen IE; beperkte licentie aan VALORIUS® voor presentatie/verkoop.
  • Vertrouwelijke info alleen gebruiken voor uitvoering; passende beveiliging verplicht.
  • Gebruik van VALORIUS®-merken enkel na schriftelijke toestemming.
5. Vrijwaring & beëindiging

Leverancier vrijwaart VALORIUS® voor derdenclaims uit productfouten, IE-inbreuk of non-compliance. Aansprakelijkheidslimieten volgen hierboven, behoudens dwingend recht en opzet/grove schuld. Beëindiging bij materiële tekortkoming (30 dagen herstel) of direct bij onrechtmatigheid/insolventie/veiligheidsrisico.

Consumentenrechten (NL/EU — kernpunten)

  • Informatieplicht: identiteit, kenmerken, totaalprijs incl. btw/levering, betaalwijze, levering/uitvoering, garantie/after-sales, herroepingsrecht; bevestiging op een duurzame gegevensdrager (bijv. e-mail).
  • Bestelknop: ondubbelzinnige label (bijv. Bestelling met betalingsverplichting).
  • Herroepingsrecht (B2C): 14 dagen bij koop op afstand/buiten verkoopruimte, tenzij uitzondering (maatwerk e.d.).
  • Wettelijke conformiteit: kosteloos herstel/vervanging; bij onmogelijk/onevenredig: prijsvermindering of ontbinding.

Herroepingsrecht & Modelformulier

1) Bedenktijd

  • 14 dagen; bij goederen vanaf ontvangst, bij diensten vanaf sluiting.
  • Verlenging indien herroepingsinformatie ontbrak.

2) Uitoefenen

  • Stuur een ondubbelzinnige verklaring (e-mail of formulier hieronder). Wij bevestigen ontvangst op een duurzame gegevensdrager.

3) Gevolgen & terugbetaling

  • Restitutie incl. standaardlevering binnen 14 dagen na melding, maar we mogen wachten tot retour ontvangen of bewijs van verzending.
  • Rechtstreekse retourkosten voor consument indien vooraf gemeld.
  • Waardevermindering bij gebruik verder dan noodzakelijk voor beoordeling.

4) Uitzonderingen (o.a. maatwerk)

  • Geen herroepingsrecht voor maatwerk (volgens specificaties en niet-geprefabriceerd), bederfelijke waar, verzegelde hygiëne-artikelen na verbreking, of reeds volledig geleverde diensten na uw uitdrukkelijk verzoek.

Ik/Wij (*) deel/delen hierbij mede dat ik/wij (*) onze overeenkomst betreffende de verkoop van de volgende goederen/levering van de volgende dienst (*) herroep/herroepen:

(*) Doorhalen wat niet van toepassing is.

Maatwerk-coulance: los van het wettelijke regime bieden wij een redelijke annulering zolang productie/logistiek niet is gestart, met max. 30% terugbetaling (aftrek van gemaakte ontwerp/engineering/materialen/transport). Dit beperkt uw wettelijke rechten bij non-conformiteit niet.

Garantie & Conformiteit

  • Wettelijke conformiteit: product moet beantwoorden aan de overeenkomst.
  • Kosteloos herstel/vervanging; zo niet haalbaar/onevenredig: prijsvermindering of ontbinding.
  • Contractuele garantie komt bovenop en laat wettelijke rechten onverlet.

Retouren & Annuleringen

  • Standaardartikelen: retour binnen wettelijke termijnen/voorwaarden, ongebruikt en compleet.
  • Maatwerk/bestelproducten: wettelijk geen herroepingsrecht. Coulance tot 30% zoals hierboven; ontwerp/engineering/tooling/freight niet-restitueerbaar.
  • Diensten binnen 14 dagen: bij uw uitdrukkelijk verzoek tot directe start en latere herroeping, evenredige vergoeding voor reeds geleverde prestaties; na volledige uitvoering vervalt herroepingsrecht.

Privacy (AVG/GDPR)

Wij verwerken persoonsgegevens als verwerkingsverantwoordelijke en, waar van toepassing, als verwerker onder een verwerkersovereenkomst. Zie onze Privacyverklaring (doeleinden, grondslag, bewaartermijnen, rechten, beveiliging).

Klachten & Geschillen

  • Klachten: support@valorius.eu (onderwerp: “Klacht + bestelnummer”). Reactie binnen 14 dagen.
  • EU ODR-platform is beëindigd per 20-07-2025; wij hanteren deze klachtenprocedure.
  • Bevoegde instantie/rechter conform toepasselijk recht blijft beschikbaar.

Toepasselijk recht & forum

Op alle transacties is Nederlands recht van toepassing. De Nederlandse rechter is bevoegd, onverminderd dwingendrechtelijke consumentenbescherming (zoals procederen bij de rechter van uw woonplaats binnen de EU).

User Agreement

1. Acceptance & Eligibility

  • 18+ and legally capable to contract.
  • Account, order, or use constitutes acceptance.
  • Business users warrant authority to bind their organization.

2. Accounts & Security

  • Keep details accurate; you’re responsible for your credentials.
  • We may suspend/terminate for fraud, risk, or breach.

3. Permitted Use

  • Lawful use only; no scraping, reverse-engineering, or service disruption.
  • No illegal, infringing, or harmful content.

4. Orders, Pricing & Payment

  • Orders are offers; acceptance occurs on confirmation (durable medium, e.g., email) or when we start performance.
  • Prices exclude taxes unless stated; VAT per law. Currency as shown/SOW.
  • Online order button is clearly labeled (e.g., “Order with payment obligation”).

5. Delivery & Risk

  • Dates are indicative; force majeure may apply.
  • Risk transfers per Incoterms or as stated in the order/SOW.

6. No Custody of Client Assets

VALORIUS® does not hold or manage client funds or digital tokens. Client materials remain client property and are used only within the agreed scope.

7. Liability & Disclaimers

To the extent permitted by law, no liability for indirect or consequential losses (including lost profits/data). Aggregate liability in any 12-month period is capped at amounts paid for the specific order/service. Nothing limits liability for fraud, willful misconduct, death, or personal injury caused by negligence.

Vendor Agreement

1. Onboarding & Compliance

  • KYC/AML; accurate company, tax, and banking details.
  • Goods/services comply with applicable laws, standards (CE/EN), and building codes.

2. Listings, Quality & Fulfilment

  • Product data must be accurate and current (specs, price, lead times, warranty).
  • Ship/perform on time; safe packaging; honour SLA/warranty per SOW/listing.
  • No illegal/non-compliant or counterfeit goods.

3. Payouts, Fees & Set-off

  • Payout timing/fees per onboarding or SOW.
  • Chargebacks/returns/fines attributable to Vendor may be set off.

4. IP & Confidentiality

  • Each party retains its IP; Vendor grants VALORIUS® a limited licence to market and sell.
  • Use confidential information only to perform; maintain reasonable safeguards.
  • Use of VALORIUS® brand assets requires prior written consent.
5. Indemnities & Termination

Vendor indemnifies VALORIUS® against third-party claims arising from product issues, infringement, or non-compliance. Liability caps mirror the User Agreement, save for IP/confidentiality/law breaches. Termination for uncured material breach (30 days) or immediately for illegality/insolvency/serious risk.

Consumer Rights (NL/EU — key points)

  • Pre-/post-contract information: identity, product features, total price incl. VAT/shipping, payment, delivery/performance, warranty/after-sales, right of withdrawal; confirmation on a durable medium (e.g., email).
  • Order button: clearly states payment obligation (e.g., Order with payment obligation).
  • Withdrawal (B2C): 14-day cooling-off for distance/off-premises contracts unless an exception applies (see below).
  • Legal conformity: free repair/replacement; if impossible/disproportionate: price reduction or rescission.

Right of Withdrawal & Model Form

1) Cooling-off period

  • 14 days; for goods from receipt, for services from conclusion.
  • Extended if withdrawal information was not properly provided.

2) Exercising the right

  • Send an unambiguous statement (email or the form below). We confirm receipt on a durable medium.

3) Effects & refunds

  • Refund incl. standard delivery within 14 days of notice, but we may withhold until goods are received back or proof of return is provided.
  • Direct return costs are borne by the consumer if communicated in advance.
  • Value reduction for handling beyond what is necessary to establish nature, characteristics and functioning.

4) Exceptions (incl. custom-made)

  • No withdrawal for custom-made (made to consumer’s specifications and not prefabricated), perishable goods, sealed hygiene items once unsealed, or services fully performed after your express request.

I/We (*) hereby give notice that I/We (*) withdraw from my/our (*) contract for the sale of the following goods/provision of the following service (*):

Goodwill for custom work: aside from the statutory regime, we may allow cancellation before production/logistics start with a maximum 30% refund (net of design/engineering/materials/freight already incurred). This does not affect statutory rights for lack of conformity.

Warranty & Conformity

  • Legal conformity: the product must conform to the contract.
  • Free repair/replacement; if impossible/disproportionate: price reduction or rescission.
  • Any commercial warranty is in addition to, and does not affect, your statutory rights.

Returns & Cancellations

  • Standard items: returns within the legal window, unused and complete.
  • Custom/made-to-order: no statutory withdrawal; goodwill up to 30% as above; design/engineering/tooling/freight non-refundable.
  • Services within 14 days: if you expressly request immediate performance and later withdraw, a proportionate amount is due; once fully performed, the right to withdraw ends.

Privacy (GDPR)

We act as controller and, where applicable, as processor under a Data Processing Agreement. See our Privacy Notice (purposes, legal bases, retention, data subject rights, security).

Complaints & Disputes

  • Complaints: support@valorius.eu (subject: “Complaint + order number”). We respond within 14 days.
  • The EU ODR platform was discontinued on 20-07-2025; we therefore use this complaints procedure.
  • National dispute bodies or courts remain available as per applicable law.

Governing Law & Venue

Dutch law applies to all transactions. Dutch courts have jurisdiction, without prejudice to mandatory consumer protections (e.g., right to litigate in your EU Member State of residence).
